PraiseCharts API Usage Agreement
In consideration of the mutual covenants herein acknowledged by PraiseCharts and the API Host (individually a "Party" and collectively the "Parties"), and intending to be legally bound, the Parties covenant and agree as follows:
- All Content, content access, and the PraiseCharts API are provided solely and exclusively for authorized Users who are active customers, subscribers or partners of PraiseCharts;
- All Content is the intellectual property of a third party, is protected by law, and no ownership or proprietary rights in the same are being transferred to the "PraiseCharts Integration," API Host, and/or any End User.
- PraiseCharts and/or Content Owners may remove Content from the PraiseCharts API from time to time without notice;
- End-Users must agree to comply with all applicable laws, including copyright law in their use of the Content and shall protect the Content Owner’s rights and property;
- The usage rights granted are nonexclusive, are subject to revocation or termination at any time, and may not be transferred, assigned, sub-licensed, distributed or conveyed in any manner whatsoever;
- As an API Host, no efforts will be made to change or interfere with the programming of the API or the PraiseCharts site, whether directly or indirectly;
- No rights are granted to manipulate or change any content accessed through the API, except what is specifically granted in the terms of use for each product resource type;
- Access to PraiseCharts content through the API does not grant any rights of resale or redistribution, neither by the API Host, nor the End User. Explicitly, no resale or redistribution rights are granted under any terms, in any manner whatsoever;
- No attempts will be made by the API Host to publish or link to malicious content intended to damage, disrupt, compromise, or exploit a user’s browser, computer, mobile (or other) device, or PraiseCharts account or to compromise a user’s privacy in any manner. In addition, no attempt will be made to collect, or try to collect, a user’s PraiseCharts credentials, including but not limited to usernames or passwords;
- Neither PraiseCharts nor Content Owners will be liable for any indirect, punitive, incidental, consequential or special damages of any kind (including loss of use, data, business or profits) resulting from the use of the PraiseCharts API or from Content made available to the “PraiseCharts Integration” through the PraiseCharts API, or for any technical or programmatic damages, or for any other damages of any type, nature or description arising out of any legal theory;
- Any and all express or implied warranties are being disclaimed, including, without limitation any implied warranty of suitability for a particular purpose.
- Disclaimer: The PraiseCharts API, PraiseCharts Services and the Licensed Content are provided “as is” without warranty of any kind. PraiseCharts disclaims all warranties, whether express, implied or statutory, regarding API, including without limitation any and all implied warranties of accuracy, results of use, reliability, suitability for a particular purpose, title, interference with quiet enjoyment, non-infringement of third-party rights and any warranties or conditions arising out of course of dealing or usage of trade. Further, PraiseCharts disclaims any warranty that use of the PraiseCharts API will meet any or all API Host requirements or that such use will be uninterrupted, error-free, virus-free, or secure;
- No Circumvention or Reverse Engineering; Maintenance of Proprietary Notices: No API Host or user of the API, will attempt to: (i) interfere with, modify or disable any features or functionality of the PraiseCharts Services, PraiseCharts API, or PraiseCharts Content including, without limitation, any mechanisms used to restrict or control access to unpaid content, or other protections such as anti-circumvention measures; (ii) translate, reverse engineer, decompile, disassemble or derive source code, underlying ideas, algorithms, structure or organizational form from the PraiseCharts Services or the Licensed Content; (iii) defeat, avoid, bypass, remove, deactivate or otherwise circumvent any protection mechanisms for the PraiseCharts Services or the Licensed Content; or (iv) remove or modify any proprietary notices, attribution or marks from or delivered as part of the PraiseCharts Services or the Licensed Content;
- PraiseCharts and the Content Owners reserve the right to modify the provisions contained in this Agreement at any time;
- If PraiseCharts believes, at its sole discretion, that any API Host or user of the API has violated or attempted to violate any term, condition, or the spirit of this Agreement, the API access or ability to use and access the content on PraiseCharts may be temporarily or permanently revoked, with or without notice.
